The General Terms and Conditions (hereinafter: "Terms") of this website have been compiled in accordance with the relevant legislation.

The EubizAPI website and API, available at https://www.eubizapi.com/ (hereinafter: "Website", "API", or "Service"), is managed by Lifetivation Rok Šprogar s.p., Kot 52, 8333 Semič, Slovenia, registration number: 7403658000, tax number: 61169340 (hereinafter: "us", "we", "our", "Owner", or "Company"), who is the service provider in connection with the Service. These Terms govern the business relationship between the Owner and Users when using the Service.

The Owner reserves the right to change the Terms, including changes in the prices of the Service. Any changes to the Terms will be published on the website https://www.eubizapi.com/ and will take effect at the time of publication or after the expiration of a certain period, if so stated. It is the obligation of each User to find out through the website whether there have been changes to the Terms and what these changes are.

You expressly agree and acknowledge that you have read these Terms and agree to comply with and be bound by all of these Terms as a requirement for creating and maintaining an account with the Owner. If at any time you do not agree with any part of these Terms, you agree to cease any further use of the Website and the Service.

The Website and our Service are intended for adults and for use in a business or professional capacity. By registering, you confirm that you are at least 18 years old.

2. THE SERVICE

EubizAPI is an application programming interface (API) and accompanying website that provide unified, programmatic access to Slovenian VAT and business-registry information, such as the verification of VAT identification numbers, registration numbers and tax statuses. The information is obtained from public registries and authoritative sources, including AJPES and FURS. The Service is provided online and hosted by the Company. We may add, change or remove features of the Service from time to time in order to improve it.

3. ACCOUNTS AND API KEYS

Using the Service requires you to register for an account and to use the API keys or credentials issued to you. When you provide information during registration, you agree to provide only true, accurate, current and complete information and to keep it up to date.

You are responsible for keeping your API keys and credentials confidential and for all activity that occurs under your account or keys. You agree not to share, sell, transfer or assign your account or keys. We reserve the right to suspend or terminate your account or keys, in accordance with applicable law, if you breach these Terms.

4. ACCEPTABLE USE

Subject to these Terms and to any applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own business purposes. You agree that you will not, and will not permit others to:

  • exceed any rate limits, quotas or fair-use limits applicable to your plan, or attempt to circumvent them;
  • use automated means to overload, disrupt or impair the Service or its infrastructure;
  • resell, redistribute or sublicense the raw data obtained through the Service, or use it to build, populate or maintain a competing database, registry or data product;
  • reverse engineer the Service or attempt to derive its source code, except to the extent permitted by mandatory law;
  • attempt to gain unauthorized access to the Service or its related systems or networks; or
  • use the Service for any unlawful purpose, in violation of the rights of any person, or in breach of the applicable terms and conditions of the underlying data sources.

5. DATA, ACCURACY AND YOUR RESPONSIBILITIES

The information made available through the Service originates from public registries and third-party sources (including AJPES and FURS). We are not the authoritative source of that information and we are not responsible for it. The information is provided on an "as is" and "as available" basis, and we do not warrant that it is accurate, complete, current or fit for any particular purpose. You should not rely on it as the sole basis for any decision, and you remain responsible for verifying it against the official sources where this matters.

The information may include personal data (for example, data relating to sole proprietors). Where you process such data, you act as an independent controller and are solely responsible for ensuring that your collection and use of that data complies with applicable law, including the General Regulation (GDPR) and the Slovenian Personal Data Protection Act (ZVOP-2), and with the applicable conditions of the underlying data sources.

6. FEES AND PAYMENT

The Service may be offered on free and/or paid plans. Where a plan is paid, the applicable fees, billing period and any usage-based charges are those shown at the time you sign up for or order the plan, and you will be billed directly by the Company. As stated above, we are not liable for VAT, so VAT is not charged and prices are final.

Where you order a paid plan as a consumer (a natural person acting outside their trade, business, craft or profession), you have a statutory right to withdraw from the contract within 14 days; however, for digital services that begin immediately, you may be asked to consent to immediate performance and to acknowledge that you thereby lose that right once performance has begun. 7. SERVICE AVAILABILITY; SUSPENSION; TERMINATION

We shall use commercially reasonable efforts to provide the Service in a reliable manner, but we do not guarantee that it will be available without interruption or error. The Service may be inaccessible from time to time for reasons including maintenance, equipment failure, or causes beyond our reasonable control.

We may suspend or terminate your access to the Service, in accordance with applicable law, if: (i) we reasonably believe that you have violated the law or breached these Terms; (ii) your use threatens the security, integrity or availability of the Service; or (iii) it is otherwise necessary to comply with our obligations. You may stop using the Service and close your account at any time.

8. INTELLECTUAL PROPERTY RIGHTS

The Company and/or its licensors own all intellectual property rights in the Service, including the API, the software, the documentation and the Website. You are granted only the limited licence set out in these Terms. Rights in the underlying registry information remain with their respective sources. All rights not expressly granted to you are reserved.

You may not use the Company's name, trademarks or service marks in any manner that suggests association, affiliation or endorsement without our prior written consent.

9. FEEDBACK

Any suggestions, ideas or feedback you choose to provide about the Service are given voluntarily, and you agree that we may use them without restriction or obligation to you.

10. DISCLAIMER

THE SERVICE AND ALL DATA PROVIDED THROUGH IT ARE OFFERED "AS IS" AND "AS AVAILABLE". TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THE ACCURACY, COMPLETENESS OR TIMELINESS OF ANY DATA. NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY RIGHTS YOU HAVE UNDER MANDATORY CONSUMER-PROTECTION LAW.

11. LIMITATION OF LIABILITY

To the extent permitted by law, in no event shall the Company be liable for any indirect, incidental, special, punitive or consequential damages whatsoever arising out of, or in connection with, these Terms and/or any use of, inability to use, or reliance on the Service or the data it provides, including, without limitation, loss of profits, data or goodwill. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.

12. GOVERNING LAW

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the Republic of Slovenia, without regard to its conflict-of-law rules. Where you use the Service as a consumer, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of your country of habitual residence. For business users, the parties agree that the court in Novo mesto, Slovenia, has exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

13. OUT-OF-COURT DISPUTE RESOLUTION

We will always first try to resolve any dispute amicably; you can reach us at [email protected]. In accordance with the Slovenian Out-of-Court Settlement of Consumer Disputes Act (Zakon o izvensodnem reševanju potrošniških sporov, ZIsRPS), the Company does not currently recognise any provider of out-of-court resolution of consumer disputes as competent to resolve a consumer dispute arising under these Terms.
